These Terms of Use ("Terms") govern your use of https://silver-tree-solutions.com (the "Site") and your purchase and use of the Program Stability Toolkit™ (the "Toolkit"). Both are provided by Silver Tree Solutions, LLC, a North Carolina limited liability company ("Silver Tree Solutions," "we," "us," or "our"). By using the Site or buying or using the Toolkit, you agree to these Terms. If you do not agree, please do not use the Site or the Toolkit.

1. The Product

The Toolkit is a Microsoft Excel (.xlsx) program stability assessment workbook. It is sold as a one-time purchase for $149 USD and delivered as an instant digital download. To use it, you need a compatible version of Microsoft Excel. The Toolkit is designed for Microsoft Excel 2016 or later, including Microsoft 365, on Windows or Mac.

2. Purchases and Payment

Lemon Squeezy processes purchases as our payment processor and merchant of record. Lemon Squeezy runs the checkout, collects payment, and handles applicable sales tax and VAT. Your purchase is also subject to Lemon Squeezy's own terms and policies. Silver Tree Solutions does not receive or store your payment card details.

Refunds are covered by our Refund Policy.

3. License

When you complete your purchase, Silver Tree Solutions grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Toolkit for the internal use of the purchasing individual or organization.

You may:

  • Use the Toolkit for your own internal projects and programs, or those of your organization
  • Make a reasonable number of copies for backup and internal use
  • Enter your own data and change the workbook for your internal use

You may not:

  • Resell, sublicense, rent, lease, or otherwise transfer the Toolkit or any copy of it
  • Redistribute, share, or give the Toolkit to anyone outside the purchasing individual or organization
  • Post, upload, or share the Toolkit publicly, including on websites, file-sharing services, forums, marketplaces, or shared public drives
  • Remove or change any copyright, trademark, or other proprietary notices
  • Use the Toolkit, or anything substantially similar to it, to build a competing product for sale or distribution

If you break these license terms, your license ends automatically and you must delete all copies of the Toolkit.

4. Decision-Support Only; No Guarantee of Results

The Toolkit is a decision-support framework. It helps you organize information and assess program stability. It does not replace your own professional judgment or advice from qualified professionals.

Silver Tree Solutions does not guarantee any particular outcome, financial return, cost savings, time savings, or project, program, or business result from using the Toolkit. You alone are responsible for how you use the Toolkit, the data you enter, and any decisions you make based on its outputs.

5. Intellectual Property and Trademarks

The Toolkit and the Site, including their structure, formulas, design, text, graphics, and other content, are owned by Silver Tree Solutions, LLC or its licensors. They are protected by copyright and other intellectual property laws. Except for the limited license in Section 3, no rights are granted to you, and all rights are reserved.

Program Stability Toolkit™ is a trademark of Silver Tree Solutions, LLC. You may not use our trademarks, names, or logos without our prior written permission.

Microsoft and Excel are trademarks of the Microsoft group of companies. All other trademarks belong to their respective owners.

6. Independence and No Affiliation

Silver Tree Solutions, LLC is an independent company. It is not affiliated with, endorsed by, or sponsored by the Project Management Institute (PMI) or any government agency. Any mention of third-party organizations, standards, or frameworks is for reference only and does not suggest any relationship or endorsement.

7. Use of the Site

You agree not to misuse the Site. For example, you agree not to try to gain unauthorized access, interfere with how the Site works, upload malicious code, or use the Site for any unlawful purpose. Your use of the Site is also subject to our Privacy Policy.

8. Disclaimer of Warranties

Except as expressly stated in our Refund Policy, and to the fullest extent the law allows, the Site and the Toolkit are provided "as is" and "as available," without warranties of any kind, express or implied. This includes warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Toolkit will be error-free or meet your specific requirements.

9. Limitation of Liability

To the fullest extent the law allows:

  • Silver Tree Solutions, LLC and its owners, members, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. This includes lost profits, revenue, data, savings, or business opportunities arising from or related to the Site or the Toolkit, even if we were told such damages were possible.
  • Our total liability for any claim arising from or related to the Site or the Toolkit will not exceed the amount you actually paid for the Toolkit.

Some jurisdictions do not allow certain limitations of liability. In those places, these limits apply only as far as the law permits.

10. Indemnification

You agree to defend, indemnify, and hold harmless Silver Tree Solutions, LLC from any claims, damages, or expenses (including reasonable attorneys' fees) that arise from your misuse of the Toolkit or the Site, or from your breach of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules. Any dispute arising from these Terms, the Site, or the Toolkit will be resolved in the state or federal courts located in or serving Harnett County, North Carolina, and you consent to those courts' jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the new version on this page and update the "Last updated" date above. If you continue to use the Site after changes are posted, you accept the updated Terms. The Terms in effect when you bought the Toolkit govern that purchase.

13. General

If any part of these Terms is found unenforceable, the rest stays in effect. If we don't enforce a provision right away, we have not waived it. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Silver Tree Solutions about the Site and the Toolkit.
